What is it worth?

Saw a '06 Z71 Suburban while driving yesterday, and my best friend is in need of a newer vehicle - his '98 Silverado is on its deathbed.

177K on the odometer, fully loaded with sunroof. Says it runs perfect, only reason he's getting rid of it is that he found a great deal on an '08 with less miles. Probably has Autoride, would rather it didn't - easy enough to delete it anyway, when/if it needs new shocks. No surface rust on the quarter panels or rocker panels, some spots on the bumpers. Hood has rust, but the silver should be easy enough to find in a junkyard - if not, I have my '01 Suburban in the back yard (but it's red). He said he hit a deer, that's why the grille and headlights are new, but nothing else was damaged (radiator or oil cooler).

He's asking $5000 for it, but he said cash would talk. What do you think is a reasonably non-insulting offer? Start at $4000?

Sure, I think that's fair. How is the interior? That's always a biggie to me on telling how well someone actually tried to care for the truck.
Also, fwiw, my 06 Z doesn't have autoride, but I am a Tahoe, not a burb. Don't know if that matters.

Met the seller, looked at it earlier. Interior wear is typical for leather, minor stains on the carpet. Otherwise, no tears anywhere, not even in the headliner. Used, but not abused.

Power everything, 6-way adjustable power seats, premium Bose system, hydroboost brakes, towing package with electronic brakes. All the brake lines were replaced last year, one decent-sized expense off the list. Everything works, no idiot lights at all. Will clean up nice, and the stains on the carpet will be covered by floormats.

He got it for $4500, picks it up Wednesday evening.
